SOILDROPS USER AGREEMENT
TERMS OF SERVICE AND END USER LICENSE AGREEMENT

IMPORTANT – PLEASE READ CAREFULLY: This User Agreement ("Agreement") is a legally binding contract between you ("User," "you," or "your") and Waterworks Inc., a Delaware corporation ("Waterworks," "SoilDrops," "Company," "we," "us," or "our"). By purchasing, installing, accessing, or using any SoilDrops product, software, application, or service — including but not limited to the SoilDrops Controller, the SoilDrops mobile application, CultivAI (accessible at ai.soildrops.com/chat), and any related services — you acknowledge that you have read, understood, and agree to be bound by all terms and conditions of this Agreement. If you do not agree to these terms, do not use the SoilDrops products or services.
This Agreement contains a binding arbitration clause (Section 16) and a class action waiver (Section 16.5) that affect your legal rights. Please read these sections carefully.
1. DEFINITIONS
For the purposes of this Agreement, the following terms shall have the meanings set forth below:
"Autopilot Mode" (also referred to as "Autopilot Watering," "Autopilot Irrigation," or "AI Watering") means the AI-powered automated irrigation scheduling feature of the SoilDrops system that generates watering recommendations and schedules based on sensor data, weather forecasts, zone configurations, and machine learning algorithms.
"Controller" or "Device" means the SoilDrops smart irrigation controller hardware device.
"Services" means all cloud-based services, mobile applications, web applications, CultivAI, firmware updates, AI recommendations, weather integrations, and any other digital services provided by Waterworks in connection with the Controller or the SoilDrops platform.
"Sensor Data" means soil moisture readings, humidity levels, temperature data, and any other environmental measurements collected by the Controller or connected sensors.
"User Content" means any images, photographs, zone configurations, labels, notes, or other content uploaded by the User to the Services, including but not limited to Zone Images.
"Zone Image" means any photograph or image uploaded by the User depicting their irrigation zones, yard, garden, landscape, or property.
"Calendar" means the in-app scheduling interface that displays upcoming and historical irrigation plans, allowing Users to review and modify scheduled watering events.
"CultivAI" means the AI-powered conversational agent accessible at ai.soildrops.com/chat and through the SoilDrops application, which provides guidance and recommendations regarding irrigation, watering schedules, fertilization, plant care, and related topics.
2. ELIGIBILITY AND ACCOUNT REGISTRATION
2.1 Age Requirement.
You must be at least eighteen (18) years of age to use the SoilDrops products and Services. By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this Agreement.
2.2 Account Security.
You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to accept responsibility for all activities that occur under your account. You must immediately notify Waterworks of any unauthorized use of your account or any other breach of security.
2.3 Accurate Information.
You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete.
3. LICENSE GRANT AND RESTRICTIONS
3.1 Limited License.
Subject to your compliance with this Agreement, Waterworks grants you a limited, non-exclusive, non-transferable, revocable license to: (a) use the Controller for personal, non-commercial residential irrigation purposes; (b) install and use the SoilDrops mobile application on devices you own or control; and (c) access and use the Services in connection with your Controller.
3.2 Restrictions.
You shall not, and shall not permit any third party to:
(a) Reverse engineer, decompile, disassemble, or attempt to derive the source code of any software, firmware, or algorithms used in the Controller or Services;
(b) Modify, adapt, translate, or create derivative works based on the Controller, software, or Services;
(c) Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Services or any rights therein to any third party;
(d) Remove, alter, or obscure any proprietary notices, labels, or marks on the Controller or in the Services;
(e) Use the Controller or Services for any commercial irrigation management, agriculture-as-a-service, or other commercial purpose without prior written consent from Waterworks;
(f) Use the Controller or Services in violation of any applicable local, state, national, or international law or regulation, including water conservation ordinances and restrictions;
(g) Interfere with, disrupt, or attempt to gain unauthorized access to the Services, servers, or networks connected to the Services;
(h) Use automated scripts, bots, or other means to access the Services for any purpose without prior written consent from Waterworks.
4. INTELLECTUAL PROPERTY
4.1 Ownership.
All intellectual property rights in and to the SoilDrops Controller, firmware, software, mobile application, Services, AI algorithms, machine learning models, trade secrets, trademarks, trade dress, and all related documentation are and shall remain the exclusive property of Waterworks Inc. This Agreement does not convey to you any ownership interest in or to the Services, but only a limited right of use revocable in accordance with this Agreement.
4.2 Trademarks.
"SoilDrops," "CultivAI," "Waterworks," the SoilDrops logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Waterworks Inc. You may not use such marks without the prior written permission of Waterworks.
4.3 Feedback.
Any feedback, suggestions, ideas, or improvements you provide regarding the Controller or Services ("Feedback") shall become the sole and exclusive property of Waterworks. You hereby assign all rights, title, and interest in such Feedback to Waterworks without any obligation of compensation or attribution.
5. AI-POWERED FEATURES, CULTIVAI, AUTOPILOT MODE, AND AUTOMATED IRRIGATION
5.1 Nature of AI Recommendations.
The SoilDrops system uses artificial intelligence, machine learning algorithms, and predictive models to generate irrigation schedules and recommendations. These features are designed to assist you with irrigation management. You acknowledge and agree that:
(a) AI-generated recommendations are estimates based on available data and algorithmic predictions, and are not guarantees of optimal irrigation outcomes;
(b) AI models may produce inaccurate results that could lead to over-watering, under-watering, or suboptimal watering schedules;
(c) Weather forecast data used by the AI is sourced from third-party providers and may be inaccurate, delayed, or unavailable;
(d) Soil moisture readings and sensor data may be affected by sensor placement, calibration, soil conditions, hardware malfunctions, connectivity issues, or other factors beyond our control;
(e) The AI may not account for all variables affecting your specific landscape, soil type, plant species, microclimate, drainage conditions, or local regulations;
(f) AI algorithms are continuously evolving and may change behavior after firmware or software updates.
5.2 Mandatory User Supervision of Autopilot Mode.
All AI-powered irrigation features — including Autopilot Mode, Autopilot Watering, Autopilot Irrigation, and AI Watering — are designed as decision-support tools that require your active and ongoing supervision. These features do not replace human judgment. You agree to:
(a) Regularly review scheduled irrigation events on the Calendar page before they are executed;
(b) Monitor push notifications and/or email alerts sent by SoilDrops regarding upcoming watering schedules;
(c) Manually override, modify, or cancel any scheduled irrigation event that you believe is inappropriate or undesirable;
(d) Periodically inspect your landscape and irrigation zones to verify that the irrigation schedules are producing satisfactory results;
(e) Adjust settings or disable Autopilot Mode if you observe any adverse effects from automated watering.
5.3 Calendar and Notification System.
SoilDrops provides a Calendar feature and notification system (via push notifications and/or email) to inform you of upcoming watering schedules. You acknowledge that:
(a) It is your responsibility to review upcoming schedules and take action if you disagree with any planned irrigation event;
(b) Failure to review notifications or Calendar entries does not diminish your responsibility for any resulting irrigation outcomes;
(c) Notifications may be delayed, undelivered, or affected by your device settings, network conditions, or third-party service disruptions;
(d) You may manually overwrite any AI-generated schedule at any time through the SoilDrops application.
5.4 Assumption of Risk.
YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE AI FEATURES — INCLUDING AUTOPILOT MODE, AUTOPILOT WATERING, AUTOPILOT IRRIGATION, AI WATERING, CULTIVAI, AND ANY OTHER AI-POWERED FUNCTIONALITY — IS AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WATERWORKS SHALL NOT BE LIABLE FOR ANY DAMAGE, LOSS, OR HARM ARISING FROM OR RELATED TO AI-GENERATED RECOMMENDATIONS, AUTOMATED WATERING SCHEDULES, OR ANY ACTIONS TAKEN OR NOT TAKEN BY THE AUTOPILOT SYSTEM OR CULTIVAI, INCLUDING BUT NOT LIMITED TO:
(a) Over-watering or under-watering of lawns, gardens, plants, trees, shrubs, or any other vegetation;
(b) Death or damage to any plants, trees, crops, vegetation, or landscaping;
(c) Water damage to property, foundations, structures, driveways, walkways, or any improvements;
(d) Flooding, erosion, soil saturation, mudslides, sinkholes, or standing water;
(e) Mold, mildew, fungal growth, or pest infestations resulting from irrigation;
(f) Increased water bills or excessive water consumption;
(g) Fines, penalties, or citations from governmental authorities for violation of water conservation ordinances, watering restrictions, or environmental regulations;
(h) Damage to the irrigation system itself, including pipes, valves, sprinkler heads, drip lines, or related components;
(i) Any indirect, incidental, consequential, special, or punitive damages of any nature.
5.5 CultivAI — AI Conversational Agent.
CultivAI is an AI-powered conversational agent accessible at ai.soildrops.com/chat that provides guidance on watering, fertilization, plant care, and related topics. By using CultivAI, you acknowledge and agree that:
(a) CultivAI provides general informational guidance only and does not constitute professional agricultural, horticultural, landscaping, or environmental advice;
(b) Recommendations provided by CultivAI are generated by artificial intelligence and may be inaccurate, incomplete, outdated, or unsuitable for your specific conditions, including your local climate, soil type, plant species, or water regulations;
(c) CultivAI may produce responses that contain errors regarding fertilizer types, application rates, watering frequencies, or other care instructions, which could result in damage to plants, soil, or property;
(d) You are solely responsible for verifying any CultivAI recommendations before acting on them, and for determining whether such recommendations are appropriate for your specific circumstances;
(e) CultivAI does not replace the advice of qualified professionals such as licensed landscapers, certified arborists, agricultural extension agents, or soil scientists;
(f) Waterworks shall not be liable for any damage, loss, or harm of any kind resulting from your reliance on information or recommendations provided by CultivAI, including but not limited to plant damage or death, soil degradation, environmental harm, or property damage;
(g) Your interactions with CultivAI may be logged, stored, and used by Waterworks to improve the AI system, in accordance with Section 6 of this Agreement.
6. DATA COLLECTION, USE, AND PRIVACY
6.1 Sensor Data Collection.
The SoilDrops Controller and Services collect Sensor Data including, but not limited to, soil moisture levels, humidity readings, temperature measurements, watering duration and frequency, zone configurations, and device performance metrics. You consent to the collection, transmission, storage, and processing of this Sensor Data as described in this Agreement and our Privacy Policy.
6.2 Use of Sensor Data.
Waterworks may use Sensor Data for the following purposes:
(a) Providing, maintaining, and improving the Services and AI algorithms;
(b) Generating aggregated, anonymized, and de-identified analytics and insights for research, product development, and business intelligence;
(c) Training, validating, and improving machine learning models and AI systems;
(d) Diagnosing technical issues and providing customer support;
(e) Complying with legal obligations or responding to lawful requests from governmental authorities.
6.3 Data Anonymization and Privacy Protection.
When Sensor Data is used for analytics, research, or AI model training, Waterworks will aggregate and anonymize such data so that it cannot reasonably be used to identify any individual User or specific property. Waterworks implements commercially reasonable technical and organizational measures to protect the confidentiality and security of your data.
6.4 Zone Images and User Content.
Zone Images and other User Content uploaded to the Services are treated as confidential. Waterworks will:
(a) Store Zone Images using industry-standard encryption and access controls;
(b) Not share, sell, license, or disclose Zone Images to any third party except as required by law or with your express consent;
(c) Not use individually identifiable Zone Images in marketing, advertising, or promotional materials without your prior written consent;
(d) Allow you to delete your Zone Images at any time through the application settings, subject to reasonable data retention periods required for backup and compliance purposes.
6.5 No Sale of Personal Data.
Waterworks does not sell your personal information or Sensor Data to third parties for marketing or advertising purposes.
7. TECHNICAL SUPPORT AND DATA ACCESS
7.1 Support Access.
When you contact SoilDrops for technical support, you grant Waterworks temporary access to your account settings, device configurations, zone setups, scheduling history, and related diagnostic information solely for the purpose of diagnosing and resolving your support request.
7.2 No Independent Access.
Waterworks will not independently access, review, or monitor your individual account data, settings, or User Content outside the scope of a technical support interaction initiated by you, except:
(a) To comply with applicable law, legal process, or governmental request;
(b) To enforce this Agreement or protect the rights, property, or safety of Waterworks, its users, or the public;
(c) To detect, prevent, or address fraud, security, or technical issues;
(d) With your express prior consent.
7.3 Diagnostic Data.
The Controller may automatically transmit non-personally identifiable diagnostic and performance data to Waterworks for the purpose of improving product quality and reliability. This data includes device health metrics, error logs, connectivity status, and firmware version information.
8. THIRD-PARTY SERVICES AND INTEGRATIONS
The SoilDrops Services may rely on or integrate with third-party services, including but not limited to weather data providers, cloud infrastructure providers, mapping services, and smart home platforms. Waterworks is not responsible for the availability, accuracy, reliability, or performance of any third-party services. Your use of any third-party services is subject to the terms and conditions of those third parties.
9. SERVICE AVAILABILITY AND INTERRUPTIONS
9.1 No Guarantee of Availability.
Waterworks does not guarantee that the Services will be available at all times or without interruption. The Services may be temporarily unavailable due to scheduled maintenance, unscheduled outages, server failures, network disruptions, natural disasters, cyber attacks, power failures, or other causes beyond our reasonable control.
9.2 Impact of Service Interruptions.
During any period of service interruption, the Controller may revert to a default or previously configured schedule, or may cease watering entirely. You acknowledge that service interruptions may result in missed watering events or unintended irrigation patterns, and Waterworks shall not be liable for any damages resulting therefrom.
9.3 Connectivity Requirements.
The Controller requires a stable Wi-Fi connection and internet access to receive AI recommendations, weather data, and remote commands. You are solely responsible for maintaining adequate internet connectivity. Waterworks is not responsible for any issues arising from Wi-Fi signal strength, router configuration, internet service provider outages, or network congestion.
10. INSTALLATION, MAINTENANCE, AND PROPER USE
10.1 Proper Installation.
You are solely responsible for the proper installation of the Controller and any connected sensors in accordance with the provided installation instructions. Improper installation, including but not limited to incorrect wiring, incompatible valve connections, inadequate waterproofing, or non-compliance with local building codes, may result in damage to your property or irrigation system for which Waterworks shall have no liability.
10.2 Compliance with Local Laws.
You agree to comply with all applicable local, state, and federal laws, regulations, and ordinances related to water usage, irrigation, landscaping, and environmental protection. You are solely responsible for understanding and adhering to any watering restrictions, conservation mandates, or permit requirements in your jurisdiction.
10.3 Maintenance Responsibility.
You are responsible for maintaining the Controller, sensors, and irrigation system in proper working condition, including periodic inspection, cleaning, and winterization as appropriate for your climate.
11. WARRANTY DISCLAIMER
11.1 THE SOILDROPS CONTROLLER, SOFTWARE, AI FEATURES, AUTOPILOT MODE, CULTIVAI, AND ALL RELATED SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WATERWORKS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
(a) Any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
(b) Any warranties arising from course of dealing, usage, or trade practice;
(c) Any warranty that the Services will be uninterrupted, timely, secure, or error-free;
(d) Any warranty that AI recommendations, Autopilot schedules, or CultivAI guidance will be accurate, reliable, complete, or suitable for your specific needs;
(e) Any warranty regarding the accuracy of weather data, sensor readings, or soil moisture measurements;
(f) Any warranty that the Controller or Services will meet your requirements or expectations.
11.2 No Guarantee of Results. Waterworks does not warrant or guarantee any specific outcome from the use of the SoilDrops products or Services, including but not limited to water savings, plant health, landscape appearance, or compliance with local watering regulations.
12. LIMITATION OF LIABILITY
12.1 Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WATERWORKS INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR:
(a) Loss of profits, revenue, income, goodwill, or anticipated savings;
(b) Loss of or damage to data;
(c) Property damage of any kind, including damage to real property, landscaping, vegetation, structures, or irrigation systems;
(d) Personal injury or emotional distress;
(e) Cost of substitute goods or services;
(f) Business interruption;
(g) Any other pecuniary or non-pecuniary loss;
REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF WATERWORKS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12.2 Aggregate Liability Cap. IN ANY EVENT, WATERWORKS’ TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT, THE CONTROLLER, OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU ACTUALLY PAID TO WATERWORKS FOR THE SOILDROPS CONTROLLER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
12.3 Essential Basis of the Bargain. You acknowledge and agree that the limitations and exclusions of liability set forth in this Section 12 are an essential basis of the bargain between you and Waterworks, and that Waterworks would not provide the products or Services without such limitations.
12.4 State Law Variations. Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above exclusions or limitations may not apply, and you may have additional rights. In such jurisdictions, Waterworks’ liability shall be limited to the fullest extent permitted by law.
13. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Waterworks Inc., its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:
(a) Your use or misuse of the Controller, CultivAI, or Services;
(b) Your violation of this Agreement;
(c) Your violation of any applicable law, regulation, or ordinance, including water usage restrictions;
(d) Any property damage, personal injury, or third-party claim arising from your use of the Controller, CultivAI, or reliance on AI recommendations;
(e) Your failure to properly supervise the Autopilot Mode or review scheduled irrigation events;
(f) Any actions taken based on CultivAI guidance, including fertilization, watering, or plant care decisions;
(g) Any content or data you provide through the Services.
14. LIMITED HARDWARE WARRANTY
14.1 Warranty Period.
Waterworks warrants the SoilDrops Controller hardware against defects in materials and workmanship for a period of one (1) year from the date of original retail purchase ("Warranty Period").
14.2 Warranty Remedy.
During the Warranty Period, if the Controller exhibits a defect covered by this warranty, Waterworks will, at its sole discretion, either repair or replace the defective Controller. This is your sole and exclusive remedy under this warranty.
14.3 Warranty Exclusions.
This limited warranty does not cover damage resulting from: (a) accident, misuse, abuse, neglect, or unauthorized modification; (b) improper installation or operation not in accordance with product documentation; (c) exposure to extreme conditions beyond the Controller’s specifications; (d) normal wear and tear; (e) power surges, lightning strikes, or electrical anomalies; (f) repairs or service by anyone other than Waterworks or its authorized agents; (g) use with non-compatible accessories or systems.
15. TERMINATION
15.1 Termination by User.
You may terminate this Agreement at any time by discontinuing use of the Services and uninstalling the SoilDrops application from your devices.
15.2 Termination by Waterworks.
Waterworks may suspend or terminate your access to the Services at any time, with or without cause, with or without notice, including but not limited to if Waterworks believes that you have violated this Agreement, engaged in fraudulent activity, or posed a risk to the security or integrity of the Services.
15.3 Effect of Termination.
Upon termination, your license to use the Services will immediately cease. Waterworks may delete your account data, settings, and User Content after a reasonable retention period. Sections 4, 5.4, 5.5, 11, 12, 13, 16, and 17 shall survive any termination of this Agreement.
16. DISPUTE RESOLUTION AND ARBITRATION
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to have a jury trial.
16.1 Informal Resolution.
Before initiating any formal dispute resolution proceeding, you agree to first contact Waterworks at support@soildrops.com and attempt to resolve the dispute informally for at least thirty (30) days.
16.2 Binding Arbitration.
If the dispute cannot be resolved informally, you and Waterworks agree that any dispute, claim, or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules.
16.3 Arbitration Procedures.
For claims of $10,000 or less, arbitration shall be conducted on the basis of written submissions only, unless either party requests an in-person or telephonic hearing. For claims exceeding $10,000, the right to a hearing shall be determined by the AAA Rules. The arbitration shall take place in the State of Delaware, unless otherwise agreed by the parties.
16.4 Governing Law.
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
16.5 Class Action Waiver.
YOU AND WATERWORKS AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of representative or class proceeding.
16.6 Jury Trial Waiver.
YOU AND WATERWORKS HEREBY WAIVE ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY DISPUTE ARISING UNDER OR RELATED TO THIS AGREEMENT.
16.7 Small Claims Court.
Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the jurisdictional limits of such court.
16.8 Opt-Out Right.
You may opt out of the arbitration and class action waiver provisions of this Section 16 by sending a written notice to Waterworks within thirty (30) days of your first use of the Services. Such notice must be sent to: Waterworks Inc., Attn: Legal Department, 411 E Huntington Dr, Unit 107-103, Arcadia, CA 91006, and must include your name, email address associated with your SoilDrops account, and a clear statement that you wish to opt out of arbitration.
17. GENERAL PROVISIONS
17.1 Modifications to Agreement.
Waterworks reserves the right to modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement within the SoilDrops application and/or sending an email or push notification to the address or device associated with your account. Your continued use of the Services after such notification constitutes your acceptance of the modified terms. If you do not agree to the modified terms, you must discontinue use of the Services.
17.2 Notification Methods.
Waterworks may send you notifications regarding scheduled irrigation events, service updates, agreement modifications, and other communications via: (a) push notifications through the SoilDrops application; (b) email to the address associated with your account; (c) in-app messages or alerts. You are responsible for ensuring your contact information is current and that you have enabled notifications.
17.3 Firmware and Software Updates.
Waterworks may from time to time issue firmware updates, software updates, patches, or modifications to the Controller and/or Services. These updates may be installed automatically. You agree that Waterworks may update the Controller firmware and application software without additional notice. Such updates may modify, add, or remove features and functionalities.
17.4 Force Majeure.
Waterworks shall not be liable for any failure or delay in performing its obligations under this Agreement due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, embargoes, acts of governmental authorities, fire, flood, earthquakes, power outages, internet outages, or telecommunications failures.
17.5 Entire Agreement.
This Agreement, together with the SoilDrops Privacy Policy and any other policies referenced herein, constitutes the entire agreement between you and Waterworks with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, whether electronic, oral, or written.
17.6 Severability.
If any provision of this Agreement is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.
17.7 No Waiver.
The failure of Waterworks to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
17.8 Assignment.
You may not assign or transfer this Agreement or any rights hereunder without the prior written consent of Waterworks. Waterworks may assign this Agreement without restriction.

ACCEPTANCE BY USE
By purchasing, installing, powering on, or connecting the SoilDrops Controller; by downloading, installing, or using the SoilDrops mobile application; by accessing or using CultivAI at ai.soildrops.com/chat; or by accessing or using any other SoilDrops Service, you signify that you have read, understood, and agree to be bound by this Agreement in its entirety, including the arbitration clause and class action waiver set forth in Section 16.
No physical or electronic signature is required. Your continued use of any SoilDrops product or Service constitutes your ongoing acceptance of this Agreement and any updates thereto, as described in Section 17.1.
If you do not agree to any term of this Agreement, you must immediately discontinue all use of SoilDrops products and Services, uninstall the SoilDrops application, and disconnect the Controller from your irrigation system.
